CONTRACT PROVISION SERVICES FOR FITNESS AND INSTALLATION OF FIRE FIGHTING SYSTEMS, WITH SUPPLY OF MATERIALS

 The parties to this contract are, on the one hand, as contractor:

(i) HIGHER EDUCATION ASSOCIATION – CEUMA, a company headquartered in the City of São Luís, State of Maranhão, at Rua Josué Montello nº 01- Renascença II, represented in the form of its constitutive acts by its undersigned representatives, hereinafter “ CONTRACTING PARTY ”and, on the other hand, as a supplier,                

(ii) CHAMATEX SISTEMAS E EQUIPAMENTOS DE COMBATE A INCÊNDIO LTDA EPP, a company headquartered in the city and state of Pará, at Av. Redenção, nº 57; Residencial Linha Verde, registered with CNPJ / MF under number 07.172. 383 / 0001-24, hereby represented in the form of their constitutive acts by their undersigned representatives, hereinafter referred to as “SUPPLIER”, both indistinctly and individually referred to as “Party” and, together, “Parties”; have mutually agreed is and Contract Execution combat system installation projects the Fire and Panic.              

CLAUSE ONE – PURPOSE

1.1. The purpose of this Contract is to provide services for the adaptation and   installation of fire fighting systems, with the supply of materials. “SUPPLY” shall be considered to be the set of MATERIALS and SERVICES that are the responsibility of the SUPPLIER, necessary for the execution of the object of this Agreement.

SECOND CLAUSE – TERM

2.1. This Agreement will remain in effect for 12 (twelve) months, starting on the date of its signature and extinguishing within a period, or until the fulfillment of all obligations arising from this Agreement, whichever occurs last.

THIRD CLAUSE – PRICE AND PAYMENT METHOD

For the SUPPLY and other SUPPLIER obligations provided for in this Agreement, the CONTRACTING PARTY will pay the fixed price of R $ 4,500,000.00 (Four million, five hundred thousand reais), which includes all direct and indirect costs related to the SUPPLY (“PRICE ”).

3.1.1. The total amount established in 3.1 above will be divided as follows :       

(i) The amount of R $ 800,000.00 (eight hundred thousand reais) will be paid upon signing the contract as a down payment.    

(ii) The amount of R $ 200,000.00 (Two hundred thousand reais) will be paid in July 2018.

(iii) The amount of R $ 3,500,000.00 will be paid in 12 installments of R $ 291,666.67 (two hundred and ninety- one thousand, six hundred and sixty-six reais and sixty-seven cents)
