CONTRACT FOR THE PROVISION OF SERVICES, WHICH
CELEBRATE NORTE ENERGIA S.A. AND ELFIRE
EQUIPAMENTOS DE SEGURANCA LTDA. – EPP, NOS
TERMS TO FOLLOW.

NORTE ENERGIA SA, legal entity under private law, concessionaire for the use of public goods for electricity generation, with headquarters in the North Commercial Sector, Quadra 04, n ° 100, Block B, rooms 904 and 1004 – Centro Empresarial Varig, CEP 70714 -900, Brasília-DF, registered with CNPJ / MF under number 12.300.288 / 0001-07, hereby represented, in the form of its Bylaws, by its representatives identified at the end, hereinafter referred to as CONTRACTING PARTY and Elfire Equipamentos de Segurança LTDA . – EPP, with address at Avenida Liberdade, n ° 52, Sala 13, Rio Verde, CEP 68.515-000, Parauapebas-PA, registered with CNPJ / MF under No. 14.418.970 / 0001-16, State Registration No. 153.507. 489, hereby represented by their legal representative at the end identified, hereinafter referred to as CONTRACTED PARTY, sign this CONTRACT FOR THE PROVISION OF TECHNICAL SERVICES (“CONTRACT”), by means of the following clauses and conditions.

CLAUSE ONE – OBJECT

• The object of this CONTRACT is the provision, by the CONTRACTOR, of Consulting services for approval of projects with CBMPA with correction of Architectural Projects (floor plan and cuts) and Fire and Panic Fighting System of the installations in the Belo Monte Hydroelectric Plants and Pimental, under the conditions established in the attached documents and Proposal submitted by the CONTRACTOR, which is part of this CONTRACT (Annex I), regardless of its total or partial transcription.

1.2 The services for the preparation of executive projects include the following activities:

1. a) Analysis of existing architectural projects;
2. b) Adequacy of architectural projects with the purpose of meeting the Exit Rules of

Emergency;

1. c) Rental of the necessary equipment for emergency exits and panic control;
2. d) Dimensioning the number of extinguishers to meet the demand according to occupation;
3. e) Dimensioning of the emergency signaling and lighting system;
4. f) Dimensioning of the emergency detection and alarm system (when necessary);
5. g) Linear temperature detection system;
6. h) System of fire hydrants and fire hoses (when necessary);
7. i) Protection system for the storage of flammable and combustible liquids;
8. j) Suppression system;
9. k) Monitoring the process until the projects are approved by CBMPA.

SECOND CLAUSE – THE EXECUTION REGIME

2.1 The CONTRACTED PARTY will perform the services covered by the CONTRACT under the contract for a global price per service item, strictly in accordance with the best professional techniques, under the terms of the CONTRACT and its integral documents.

THIRD CLAUSE – CONTRACTING PARTY’S OBLIGATIONS

3.1 The following are the obligations of CONT TANTE, without prejudice to other legal and contractual responsibilities:

b) for the damages caused to the CONTRACTING PARTY or third parties, resulting from action or omission, negligence, imprudence or malpractice of the CONTRACTOR, its agents, employees or personnel that the CONTRACTOR, in any capacity, employs in the performance of the contracted services;

c) for the payment, at the proper times, of all social and labor obligations arising from the employment contract of the personnel used in the performance of the services covered by this CONTRACT;

d) for the infractions that you commit regarding the right to use materials or execution processes protected by trademarks or patents, responding, in this case, personally and directly, for any indemnities, fees or commissions that are due, as well as for any claims resulting from the misuse of them; and,

e) for the full compliance with all the requirements and recommendations of the environmental agencies, being responsible for any damages caused by you, your representatives, representatives or employees to the environment, goods or the person.

5.4 This CONTRACT does not generate any employment or employment relationship between the CONTRACTING PARTY and the personnel that the CONTRACTED PARTY uses, directly or indirectly, to provide the contracted services.

CLAUSE SIX – PERIOD OF EXECUTION AND TERM OF CONTRACT

6.1 This CONTRACT will have a term of 150 (one hundred and fifty) days, including the execution period of 60 (sixty) days, counted from the date of signature of this CONTRACT.

6.1.1 There may be an extension of the aforementioned period for the period of time necessary for the completion of the tasks and activities, provided that the delay is justified, such an extension of the term not being characterized due to a change in the price of the CONTRACT.

6.2 The extension must be established by agreement between the parties, by means of an addendum.

SEVENTH CLAUSE – PRICE AND PAYMENT

7.1 The CONTRACTING PARTY shall pay to the CONTRACTED PARTY, for the correct and complete execution of the services now contracted, the total amount of RS 282,000.00 (two hundred and eighty-two thousand reais), Base Date of December / Q015, to be paid in installments, presented by the CONTRACTED PARTY and approved by the CONTRACTING PARTY, taking into account the price contained in the Commercial Proposal presented in Annex 1, as shown below:

a) 10% with 15 days after delivery of the Document Inspection Fee.

b) 60% with 15 days after delivery of the project to Norte Energia;

c) 30% with 15 days after approval by the Military Fire Brigade;

7.2 The following will already be considered included in the above price:

a) all taxes, duties and / or charges of any nature owed by the CONTRACTED PARTY to the public authorities, whether Federal, State or Municipal, directly related to the object of this contract and in force at the time of signing this CONTRACT, including ISSQN and the total ICMS rate levied on the CONTRACTOR’s supply inputs, if applicable; and

b) all direct and indirect expenses incurred by the CONTRACTOR in the execution of the object of this CONTRACT, such as labor, social charges, equipment, vehicle and vessel rentals, fuel, taxes, insurance, central and local administration, and profit.

7.3 The payments referred to her shall be made after the approval by the CONTRACTING PARTY of the services performed in the corresponding period.

7.4 The CONTRACTING PARTY will have 03 (three) days to approve the services and issue the billing authorization.
